TERMS AND CONDITIONS These Terms and Conditions govern your access to and use of the Fair Day platform, website, and related services (collectively, the “Service”), operated by Vine and Branches LLC, doing business as Fair Day (“Fair Day,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. ABOUT FAIR DAY Fair Day is a software-as-a-service (SaaS) platform designed to help organize, manage, and judge fairs and competitions, including but not limited to children’s business fairs, art fairs, science fairs, and similar events. ELIGIBILITY You must be at least 18 years old to create an account or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. ACCOUNTS AND REGISTRATION You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when registering and using the Service. Fair Day reserves the right to suspend or terminate accounts that violate these Terms. ACCEPTABLE USE You agree not to: • Use the Service for any unlawful purpose • Attempt to gain unauthorized access to the Service or its systems • Interfere with or disrupt the Service or its security • Upload or transmit viruses, malware, or harmful code • Misrepresent your identity or affiliation Fair Day may investigate and take appropriate action against violations. CONTENT AND DATA You retain ownership of all content, data, and materials you submit to the Service. By using the Service, you grant Fair Day a limited, non-exclusive, royalty-free license to use your content solely for the purpose of operating, maintaining, and improving the Service. You are responsible for the accuracy of submitted data and for obtaining any necessary permissions, consents, or approvals related to that data. CHILDREN AND MINORS The Service may be used in connection with events involving minors. Accounts must be created and managed by adults or authorized organizers. Fair Day does not knowingly collect personal information directly from children without organizer oversight. Organizers are responsible for complying with applicable child privacy and education laws, including but not limited to COPPA and FERPA, where applicable. FEES AND PAYMENTS Some features of the Service may require payment. All fees are disclosed prior to purchase and are non-refundable unless otherwise stated. Fair Day reserves the right to change pricing with reasonable notice. INTELLECTUAL PROPERTY The Service, including its software, design, branding, logos, and content (excluding user-submitted content), is owned by Fair Day and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or exploit any part of the Service without prior written consent. SERVICE AVAILABILITY The Service is provided on an “as is” and “as available” basis. Fair Day does not guarantee uninterrupted or error-free operation. We may suspend, modify, or discontinue the Service for maintenance, updates, or other operational reasons. DISCLAIMER OF WARRANTIES To the fullest extent permitted by law, Fair Day disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Your use of the Service is at your own risk. LIMITATION OF LIABILITY To the maximum extent permitted by law, Fair Day shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits. Fair Day is not responsible for event outcomes, judging decisions, or organizer actions. Fair Day’s total liability shall not exceed the amount paid by you to Fair Day in the twelve months preceding the claim. INDEMNIFICATION You agree to indemnify and hold harmless Fair Day, its owners, officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights. TERMINATION You may stop using the Service at any time. Fair Day may suspend or terminate your access if you violate these Terms, if required by law, or if the Service is discontinued. Upon termination, your right to use the Service ends immediately. GOVERNING LAW These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles. Any legal action related to these Terms shall be brought in the state or federal courts located in Alabama. CHANGES TO TERMS Fair Day may update these Terms from time to time.
